3. Service Engagement

4. Billing and Payment
4.1 The Client agrees to pay Venture for the Services provided at the agreed hourly rates or fixed prices, as specified in the quote or proposal.
4.2 Venture will issue invoices to the Client periodically, detailing the Services rendered and the corresponding charges.
4.3 Payment of invoices is due within 14 days from the date of invoice, unless otherwise agreed upon in writing.
4.4 Failure to make payment within the specified time frame may result in the suspension or termination of Services, at the discretion of Venture.
5. Intellectual Property
5.1 All intellectual property rights, including but not limited to copyrights, trademarks, and patents, in any material produced as part of the Services shall remain the property of Venture Online Ltd, unless otherwise agreed upon in writing.
5.2 Upon receipt of full payment for the Services, Venture grants the Client a non-exclusive, non-transferable license to use the deliverables solely for the Client's business purposes.
6. Confidentiality
6.1 Both parties agree to treat all information exchanged during the course of providing and receiving the Services as confidential, and not to disclose such information to any third party without the prior written consent of the other party.
7. Limitation of Liability
7.1 Venture shall not be liable to the Client for any loss or damage, whether direct, indirect, or consequential, arising from the provision of the Services or the use of the Website, except to the extent such loss or damage arises from Venture's negligence or wilful misconduct.
7.2 Venture shall have no liability for any damages caused during or after the delivery of the Services, including but not limited to any loss of data, loss of profits, or business interruption.
8. Termination
8.1 Either party may terminate the provision of Services by providing written notice to the other party.
8.2 In the event of termination, the Client shall be liable to pay Venture for all Services rendered up to the date of termination.
9. Governing Law and Jurisdiction
9.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales.
9.2 Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
10. Amendments
10.1 Venture Online reserves the right to amend these Termsat any time without prior notice.
10.2 Amendments to these Terms will be effective upon posting on the Website.
